Cen Biotech Announces The Signing Of A Merger Agreement With Csoc

WINDSOR, Ontario - illiNews -- CEN Biotech, Inc. (CEN) is pleased to announce it has entered into a Merger Agreement (the "Merger Agreement") with Caduceus Software Systems Corp., a Wyoming corporation ("CSOC"), which was reviewed and approved by the Board of Directors of CEN on June 21, 2019. This transaction follows the signing of a Non-Binding Term Sheet with CSOC on May 15, 2019, in which, CEN and CSOC agreed to undertake a merger transaction to combine the two companies' operations and negotiate and enter into a definite agreement to affect the transaction.

According to Joseph Byrne, CEO of CEN Biotech Inc., "We believe that this Merger Agreement is a major milestone in completing the transaction with CSOC to create a combined company that, we believe, can create value for both CEN and CSOC shareholders." According to the signed Merger Agreement, it is contemplated that CEN Shareholders will receive one share of CSOC Common Stock for every share of CEN that they own, and that the shares of CSOC Common Stock to be issued in the merger shall be registered on a Form S-4 to be filed by CSOC with the Securities and Exchange Commission prior to the expected closing of the Merger Agreement.

However, there can be no assurance that the Merger Agreement can close as planned, or at all, and there can be no assurance that the transactions contemplated by and in the Merger Agreement, can be completed as planned, or at all.
